1. Agreement to Terms

Welcome to OrderlyPOD ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our Shopify application (the "App" or "Service"). By installing, accessing, or using OrderlyPOD, you agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.

2. Service Description

OrderlyPOD is a print-on-demand application that enables Shopify merchants to:

• Create and manage custom print orders (neon signs, acrylic products, etc.)
• Process orders with integrated credit system
• Track order fulfillment and shipping
• Manage customer shipping information
• Apply discount coupons to orders

3. Account Registration and Eligibility

3.1 Shopify Account Required

You must have an active Shopify store to use OrderlyPOD. By installing our App, you authorize us to access your Shopify store data as necessary to provide our services.

3.2 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service.

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Credits and Payments

4.1 Credit System

OrderlyPOD uses a credit-based system for order fulfillment. You must purchase credits to place orders.

4.2 Credit Packages

Available credit packages:

• $20, $50, $100, $250 standard packages
• $500 package includes $15 bonus credits
• $1000 package includes $50 bonus credits

4.3 Payment Processing

Payments are processed securely through Stripe. We do not store your credit card information. All transactions are subject to Stripe's terms and conditions.

4.4 Refund Policy

Credits are non-refundable once purchased. However, we will consider refund requests on a case-by-case basis for:

• Technical errors in credit processing
• Duplicate charges
• Service failures on our part

To request a refund, contact us at support@orderlypod.com within 30 days of purchase.

4.5 Credit Expiration

Credits do not expire as long as your account remains active. If you uninstall the App, unused credits will be forfeited unless otherwise agreed.

5. Orders and Fulfillment

5.1 Order Placement

You are responsible for ensuring that all order information (designs, specifications, shipping addresses) is accurate and complete.

5.2 Processing Time

Order processing times vary based on product type and complexity. Estimated timelines will be provided at the time of order placement.

5.3 Quality Standards

We strive to maintain high quality standards for all products. If you receive a defective or incorrect product, please contact us within 7 days of delivery.

5.4 Shipping

Shipping costs and insurance are calculated based on the destination and product specifications. We are not responsible for delays caused by shipping carriers.

6. User Content and Intellectual Property

6.1 Your Content

You retain all rights to the designs, artwork, and content you upload to the App. By uploading content, you grant us a limited license to use, reproduce, and process your content solely for the purpose of providing our services.

6.2 Content Restrictions

You may not upload content that:

• Infringes on intellectual property rights of others
• Contains illegal, harmful, or offensive material
• Violates any applicable laws or regulations
• Contains malware or malicious code

6.3 Our Intellectual Property

The App, including its design, features, and underlying technology, is owned by OrderlyPOD and protected by copyright, trademark, and other intellectual property laws.

7. Prohibited Uses

You agree not to:

• Use the App for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the App or related systems
• Interfere with or disrupt the App's operation
• Use automated systems (bots, scrapers) to access the App
• Reverse engineer, decompile, or disassemble the App
• Resell or redistribute our services without authorization
• Abuse our credit system or payment mechanisms

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the App will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORDERLYPOD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

Our total liability to you for any claims arising from your use of the App shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless OrderlyPOD and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Content you upload or orders you place through the App

11. Termination

11.1 By You

You may terminate your account at any time by uninstalling the App from your Shopify store.

11.2 By Us

We reserve the right to suspend or terminate your access to the App at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment or abuse of our services
• Any reason with or without notice

11.3 Effect of Termination

Upon termination, your right to use the App will cease immediately. We will retain your data according to our Privacy Policy and applicable laws.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Updating the "Last Updated" date
• Sending an email notification
• Posting a notice in the App

Your continued use of the App after changes indicates acceptance of the updated Terms.

13. Dispute Resolution

13.1 Informal Resolution

If you have a dispute with us, please contact us at support@orderlypod.com to attempt to resolve the issue informally.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where OrderlyPOD is registered, without regard to its conflict of law provisions.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OrderlyPOD regarding the App.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
